10\. Stake SIDUS tokens in one of our [Staking pools](https://www.siduspad.io/staking). To increase your Tier, deposit the corresponding staking requirement.

11\. Select the pool, enter the amount of SIDUS you want to stake, then confirm the transaction - ETH is required to pay the fees.

12\. Once the transaction is approved, your SIDUS will be added to the pool and your current Tier will be displayed in your Account.

### Tier Boost

This unique feature increases your current Tier level and thus future IDO allocations by the exact percentage defined by each new Staking pool. For instance, if you stake 20,000 SIDUS tokens in the Annual Pool, you'll join the Topaz Tier and not the Amethyst Tier. This is because you will receive a 50% “Tier Boost” bonus, making your ‘staking amount’ count as 30,000 SIDUS - which is the minimum staking requirement for the Topaz Tier. Please Note: Tier Boost does not affect your APY.

### Bounties

SidusPad utilizes compound interest to calculate the rewards for Staking.&#x20;

For instance, the Exclusive pool's base APR is 20%, but the anticipated APY is approximately 22.13%. Users can earn Bounties and increase the base APR through reinvestment.

**How it works:**

1. 0.25% of the total accrued pool rewards are available to be claimed as Bounties.
2. Any user can claim this bonus at any time.
3. The remaining 99.75% of the rewards are added to the Staking pool.
4. Subsequent rewards will be based on the new total.
5. Only the Bounty can be claimed by the user, whereas the Staking reward becomes available only when the term ends.

### Tiers

There are six tiers catering to all needs. To access IDOs, users must unlock at least the Amethyst tier by staking SIDUS tokens. Each subsequent tier provides additional benefits, such as increased IDO allocations and even access to exclusive events.

# Staking Guide

Staking on SidusPad allows users to earn passive income, i.e. regular rewards, without actively trading or managing the locked sum. It also offers lower risk compared to trading. However, most importantly, Staking on SidusPad allows users to participate in IDOs and other events on the Launchpad.&#x20;

Based on the staked amount, each user is assigned a Tier. There are six Tiers in total, each with its minimal staking requirement.

The Top 3 Tiers, i.e., Ruby, Emerald, and Diamond, give access to exclusive opportunities, such as participation in Private Rounds as well as the Guaranteed Allocation events, higher IDO allocations, etc.&#x20;

#### Staking Pools

There are several SIDUS Staking pools currently available.

As seen in the table above, most are active on both Linea and Ethereum, offering users the flexibility to choose their preferred network. While Linea offers lower gas fees, as well as higher transaction throughput, Ethereum boasts wider adoption and higher liquidity.&#x20;

#### Tier Boost

The Tier Boost is a unique feature that increases your current Tier level and, by extension, future IDO allocations by the exact percentage defined by each new Staking pool. For instance, if you stake 20,000 SIDUS tokens in the Annual Pool, you'll automatically qualify for the Topaz Tier and not the Amethyst Tier, despite the 30,000 SIDUS threshold due to receiving a 50% “Tier Boost” bonus. Your 20,000 SIDUS Staking amount will count as 30,000 SIDUS - which is the minimum staking requirement for the Topaz Tier. Thus, the feature gives users the unique opportunity to qualify for events accessible to the Top 3 Tiers, while staking a smaller sum.

## How to Complete Identity (KYC) & Wallet Verification

To participate in IDOs on SidusPad, every user must verify their identity and wallet. We also recommend enabling 2-Factor Authentication as an additional security measure.

### Identity Verification (KYC)

1\. Go to ‘My Profile’ and click on ‘Verify Identity’.

2\. Provide your data, including: Name, Surname and Date of Birth.

3\. You'll need a smartphone to take a photo of yourself and your ID Card, Driver's License or Passport.

4\. Scan the QR code on the screen or enter your phone number to receive a link to the verification service.

5\. Follow the steps on your smartphone, then return to the web browser.

6\. Your KYC application will be reviewed. You’ll be notified by email when your application is approved.

### Wallet Verification

1\. Go to ‘My Profile’ scroll down and locate ‘Verified Wallet’.

2\. Connect your wallet (the Linea network) - choose between MetaMask, WalletConnect or Ledger.

1\. Go to ‘My Profile’, scroll down to Security and click on ‘Enable’.

2\. Open the Google Authenticator app on your smartphone, press “+” and scan the QR code.

# IDO Allocation Principles

Read this article to learn how IDO Allocations are distributed on SidusPad and how it relates to each user’s stake.

SidusPad's primary advantage lies in its transparent and fair Allocation distribution system, which directly correlates to the amount of tokens you stake. We employ a linear system whereby Allocations depend on two factors:

1. The user's total staking amount (all pools)
2. The total allocation for the particular IDO event

Essentially, the Allocation percentage reflects the user's contribution to the pools.

#### Example:

1. The total amount staked across all pools is $300,000.
2. Suppose a user stakes $500.
3. That user is entitled to claim 0.167% of the Overall Allocation.
4. If the Overall Allocation amounts to $500,000, the user would receive an Allocation of $833.34.

*\* This rule applies on the condition that everyone who staked has registered on the IDO.*

Let's say your Referral enters the Amethyst Tier. In this case:

* 250 SIDUS tokens will be awarded to you (the Referrer).
* 250 SIDUS tokens will also be awarded to your friend (the Referral).

Both the Referrer and Referral receive rewards in accordance with the Tier achieved by the Referral in Metamask wallet.

# Refund Policy

### SidusPad Refund Policy Overview

At SidusPad, protecting user’s investments and ensuring token sale transparency is paramount. To help bring that vision to life, we have implemented a comprehensive refund policy for users on SidusPad.

Transparency within the Web3 domain and for investors’ well-being are a priority for SidusPad, which is reflected in our refund policy. By leveraging innovative smart contract technology, we believe the policy will increase protection for our users and foster their trust, helping both investors and projects on our platform flourish and succeed over time.

### Refund Eligibility

Each project raise is subject to a **Grace Period**, which will commence on the token's market debut and end at the nominated time as stated on the project’s listing page. During the Grace Period, users have the option to either claim their tokens or submit a refund request.&#x20;

If an eligible user opts for a refund, SidusPad will return up to 100% of their investment, depending on that particular user’s Tier.&#x20;

The refund period is only available to users during the Grace Period and once a user claims the particular tokens, a user will no longer be eligible for any refund.

# DAO Voting

## **Community Governance: Take charge of key decision-making and help shape SidusPad.**

SidusPad was born with an overarching goal to bring the most interesting projects, with great potential, to the IDO. With a strong emphasis of empowering our community, we encourage you to hand-pick projects for the IDO, making this selection process both transparent and fair.

Any projects seeking to conduct an IDO on SidusPad are vetted and must pass our preliminary checks and analysis. If the project is successful in stage 1, they are presented for the second stage of selection — the DAO Vote conducted by the community.

Projects conducting private rounds on the SidusPad platform do not participate in DAO voting.

Community members will be able to vote for a project over the course of 24 hours using their Senate tokens. In order to make an informed decision, the community will have the opportunity to study the project, read our analysis and make their choice.

If the project is approved by a majority vote, it moves to the third stage, which is the IDO itself.

# Terms and Conditions

SIDUS USER TERMS AND CONDITIONS

By setting up, logging into and/or using your account on our website [www.siduspad.io](http://www.siduspad.io) and related extensions (the “**Website**”), by using any of our services which are available via the Website and/or by participating in a Fundraise (as deﬁned below), you hereby agree (i) to become a party to this agreement (the/this “**Agreement**”) and (ii) that your counterparty is **Gaming Star Alliance** , a licenced user of the trademark “Sidus Launchpad”  (“**Sidus**”).

You will hereinafter be referred to as “**you**” and the “**Client**”. The Client and Sidus will each individually be referred to as (a) “**Party**” and collectively as (the) “**Parties**” to this Agreement.

## RECITALS:

A.        Sidus exploits, amongst other things but not limited thereto, a blockchain-based (crowdfunding) platform on/via which various services are provided, such as crowd funding services for newly (to be) incorporated companies with a focus on blockchain technology (the “**Platform**”).

B.        Sidus hosts the Fundraise(s) on behalf of the companies listed on the Platform. Sidus also facilitates the platform on which the Fundraise(s) are hosted on behalf of the companies listed on the Platform.

C.        The Client wishes to use the services of Sidus as listed on the Website and which are exclusively accessible to the Client via his/her account on the Website, explicitly including but not limited to (all as defined hereinafter:) using and/or interacting with the Platform, Fundraise(s), Token Claim(s) and/or NFT(s) (the “**Services**”).

D.        Parties wish to establish their rights and obligations towards each other with regard to the Services and all subsequent (legal) actions and/or agreements in relation thereto in this Agreement.

E.        In order to illustrate the (technical) knowledge of the Client of the status and functioning of blockchain technology and the application thereof, the Client hereby acknowledges (that he/she realizes), amongst other things but not limited to, that:

&#x20;   i.   blockchain is a new and largely unregulated form of interaction and doing business. Many jurisdictions have not yet adopted their legal systems to this up-and-coming application of technology. As a result of this, upcoming changes in legal systems and/or other circumstances may result in substantial changes in the blockchain application and/or the (execution of the) Services;

&#x20;   ii.   the tokens which are to be used, transferred and/or received by the Client are only accessible via a digital wallet. The wallet requires the means to store and access the private key. If either the private key or wallet is compromised this can result in the unrecoverable and permanent loss of the tokens which are held in that wallet; and

&#x20;   iii.   blockchain and the (underlying) software(products) are currently in an early development stage and have not been proven to be without error. Therefore, Sidus cannot give the Client any warranties regarding the errorless and hack-free functioning and performance of Sidus’s network, the Platform, the Services and/or the blockchain(s) on which they are based.

F.        The Client realizes and acknowledges that the Services and the Platform are still in the process of development and this development has no ﬁxed timeline or deadline. The provision and execution of the Services is planned on a best-effort basis. The Client realizes and acknowledges that digital tokens and other blockchain-related technologies are new and untested, and are thus inherently risky. Sidus is not responsible for any non-performance of/in relation to the Services and/or the Platform resulting from adverse changes in market forces and/or technological changes. In addition, the Client has been warned, understands and accepts the following risks:

&#x20;   i.      legal risks regarding securities regulations;

&#x20;   ii.     risks associated with blockchain-related technologies;

&#x20;   iii.    risks of unfavorable regulatory actions;

&#x20;   iv.    risks of cyber theft and hacking;

&#x20;   v.     risks of security weakness of codes & software;

&#x20;   vi.    weaknesses of cryptography & mining attacks;

&#x20;   vii.   risk of loss of value of cryptocurrencies and/or tokens;

&#x20;   viii.  Sidus may not meet the Client’s expectations; and

&#x20;   ix.    regulatory risks associated with cryptocurrencies, tokens, the Platform and/or the Services.

G.        The Client realizes and acknowledges that this Agreement does not constitute an offer or invitation to subscribe for or to purchase any securities nor solicit any investment in any jurisdiction. The Client agrees to seek professional advice if he or she is in doubt about any aspect of this Agreement.

## HAVE AGREED AS FOLLOWS:

### **1.      Interpretation**

1.1.     Deﬁnitions that are deﬁned in this Agreement apply in the singular form as well as in the plural form of these deﬁnitions.

1.2.    The contents of the recitals in this Agreement form an integral part of what the Parties have agreed upon.

### **2.     The Services**

2.1.     Sidus hereby undertakes the obligation with respect to the Client to ensure that the Client will be able to use and receive (access to) the Services and the Platform.

2.2.    The provision of the Services by Sidus to the Client and the Client’s access to the Platform and the Services is subjected to the continuous compliance of the Client with the following (cumulative) conditions:

&#x20;   i.     the Client successfully passes the KYC (know your customer) and AML (anti money laundering) checks and procedures applied by Sidus and/or a third party designated thereto by Sidus. This is to be determined at the sole discretion of Sidus and/or a third party designated by Sidus;

&#x20;   ii.    the Client continuously complies with and acts in accordance with the terms of this Agreement, more speciﬁcally but not limited to, the representations and warranties made by the Client in article 6 of this Agreement; and

&#x20;   iii.   the Client will at all times act and interact with the Services and the Platform in good faith, in accordance with the standards of reasonableness and fairness and not in any way or form that is to the detriment of and/or damaging to Sidus, Sidus’s business, the Services and/or (the functioning of) Platform.

2.3.    Sidus is legally entitled to, at their own sole discretion, suspend (the functioning of) the Platform, Services and/or the Client’s access to (his/her account on) the Website temporarily or permanently. This access-blocking and/or suspension of the Services may be a consequence of, among other things but not limited thereto, inconsistent information regarding the identity of the Client, a pending compliance or security review, the request of a third party, or the request and/or order of an authority, governmental body, regulator, legal entity, law-enforcement agency, et cetera. Sidus, and/or any third party designated thereto by it, determines at their sole discretion which reasons are to be deemed valid for the suspension of the Services and/or the access to the Website. Sidus cannot be held liable for any losses suffered by the Client as a result of any suspension and/or termination of access to the Platform, the Services and/or the Website.

2.4.    You are solely responsible for determining what, if any, taxes apply (to you) in your jurisdiction regarding entering into this Agreement, (using and interacting with) the Services and/or the Platform, including but not limited to, for example, sales, use, value-added, and similar taxes. Your responsibility is to report and remit the correct taxes to the appropriate tax authorities. Sidus is not responsible for withholding, collecting, reporting, or remitting any sales, use, value-added, or similar tax arising from you entering into and executing this Agreement, in any form whatsoever.

### **3.     The (crowd) funding opportunities**

3.1.     The (crowd) funding opportunities that are listed on the Platform with regard to a speciﬁc company (the/a “**Fundraise**”) will be listed and monitored under strict supervision by Sidus or a party designated thereto by Sidus.

3.2.    The Client’s participation in a Fundraise will always be subjected to a written agreement and subsequent legal relationship between the Client and Sidus and/or the relevant company regarding the Fundraise. If Sidus is not a (contracting) party to a Fundraise, then  Sidus not in any way responsible or liable for the outcome and/or result of a Fundraise.

3.3.    The Client agrees and warrants to Sidus with regard to the Client’s participation in a Fundraise via the Platform that he/she will:

&#x20;   i.        exclusively and without any modiﬁcation use and fully execute in accordance therewith the written agreements, KYC, and AML protocols, other (crowd) funding protocols and/or other agreements or documents which will be provided via the Platform on behalf of the company hosting a Fundraise; and

&#x20;   ii.       only use the Platform and the Services provided by Sidus in order to identify and participate in a Fundraise and not circumvent the Platform and/or Sidus in any way possible.

&#x20;   iii.      **Whitelisting and Crowdfunding event**: Before the crowdfunding event, the project shall transfer the maximum allocated tokens (Hardcap) to the crowdfunding smart contract that facilitates the whitelisting, crowdfunding, vesting, and refund policy. The whitelisting duration can be subject to changes before the crowdfunding events takes place, as unforeseen circumstances might cause the crowdfunding date or TGE date to change. During the whitelisting period, investors can register their interest in participating in the crowdfunding event. The ﬁnal allocation for the crowdfunding event is based on the number of whitelisted users and their tiers. Eligible users can invest in project tokens during the crowdfunding event.

&#x20;   iv.      **Unsold tokens**: Any unsold tokens will be automatically transferred back to the project after the crowdfunding event.

&#x20;   v.       **Refund policy**: The refund policy Grace Period shall start at token listing, during which eligible investors who have not yet claimed any tokens and maintained their Sidus tier level can request a refund. If a refund is requested by eligible user, all the unclaimed user tokens will be automatically transferred back to the project.

&#x20;   vi.      **Raised funds and Sidus fee**: The funds raised during the crowdfunding event will be automatically transferred to the project when users claim tokens, minus the crowdfunding fee. All remaining funds raised will be sent to the project wallet address at the end of the Grace Period.

&#x20;   vii.     **Grace Period**: Grace period estimates from one to seven working days depending on the terms of a separate written agreement between Sidus and the project.

&#x20;   viii.    **SAFT**: The project shall use  the template SAFT agreement provided by Sidus to contract between the project and the (crowd).

### **4.     Token Claim Event**

**4.1.**    As part of the Services, Sidus may transfer (airdrop) to you and/or other users of the Platform, cryptographic tokens relating to a speciﬁc project or company that is listed on the Platform (the/a “**Token Claim**”). A Token Claim is subjected to speciﬁc deliverables and/or actions that are to be performed and/or achieved by you in order to be eligible for a Token Claim.

4.2.     It is exclusively determined by Sidus, and/or a third party designated thereto by Sidus, whether you have satisfactorily performed any action(s) and/or made any deliverable(s) on or via the Platform that makes you eligible to receive the cryptographic tokens under the Token Claim. The amount of cryptographic tokens you will receive is to be determined at the sole discretion of Sidus and/or a third party designated to it by Sidus.

4.3.     The cryptographic tokens that you may receive under the Token Claim (if any), are envisaged to be distributed by Sidus after you have satisfactorily performed any action(s) and/or made any deliverable(s) on or via the Platform.

### **5.      NFTs**

**5.1.**     As part of the Services, Sidus may transfer to you and/or other users of the Platform like you, cryptographic, non fungible tokens (NFTs) granting you (access to) speciﬁc Services, such as but not limited to, benefits (perks) and/or access to areas of the Platform (“**NFTs**”). The use and receipt of NFTs is subjected to speciﬁc deliverables and/or actions that are to be performed and/or achieved by you in order to be eligible to receive and use NFTs. These deliverables and/or actions are communicated by Sidus to you on/via the Platform and may include terms and conditions issued by third parties.

5.2.     It is exclusively determined by Sidus, and/or a third party designated thereto by Sidus whether you have satisfactorily performed any action(s) and/or made any deliverable(s) on/via the Platform that makes you eligible to receive and/or use (a) NFT(s) and the Services related thereto.

5.3.     NFTs, are envisaged to be distributed by Sidus after you have satisfactorily performed any action(s) and/or made any deliverable(s) on/via the Platform.

### **6.     Representations and warranties from the Client to Sidus**

6.1.     The Client represents and warrants to Sidus that:

&#x20;   i.        he/she is over 18 (eighteen) years old;

&#x20;   ii.       he/she is legally permitted under the laws applicable to him/her to enter into this Agreement and is allowed and capable of receiving the Services;

&#x20;  iii.       he/she is not involved in any proceedings or disputes related to (the execution of) this Agreement and/or (the use of) the Services;

&#x20;   iv.      entering into this Agreement and/or the use of the Services does not constitute an attributable breach on the part of the Client concerning one or more third parties;

&#x20;   v.       the (content(s) of the) information and documents that the Client has provided and/or will provide during the execution of this Agreement and/or the use of the Services to Sidus and/or a third party designated by Sidus in relation to (the signing and execution of) this Agreement, including but not limited to the information and documents with regard to the KYC and AML procedures, are correct, accurate, true and not in any way misleading or fabricated;

&#x20;   vi.      the Client’s wallet address which he/she provides to Sidus is a wallet address that is exclusively controlled and used by the Client, whereas (for avoidance of doubt) said wallet address is not an address held with an exchange, nor an address that is (also) used by and/or on behalf of anybody else;

&#x20;   vii.     what has been included in the recitals of this Agreement is correct, while the Client is aware of, and warrants that he/she is aware of, and understands the risks as described in the recitals of this Agreement;

&#x20;   viii.    the Client conﬁrms that he/she fully understands the (technical) nature and (legal) consequences of this Agreement, the functioning of the Platform and (the use of) the Services;

&#x20;   ix.      he/she enters this Agreement solely to receive the Services from Sidus. The Client is not entering into this Agreement for any other uses or purposes, including, but not limited to, any investment, speculative or other ﬁnancial purposes;

&#x20;   x.       the Client will comply with any applicable legal and tax obligations in his/her jurisdiction arising from the Client entering into this Agreement and/or receiving the Services;

&#x20;   xi.      the Client enters into this Agreement and shall use the Services exclusively for himself/herself and not (also) for and/or on behalf of anybody else; and

&#x20;   xii.     the Client is  (whether as an individual or legal entity) is not a resident of or registered in, any of the Restricted Locations. For the purpose of this Agreement, “Restricted Locations” shall include the United States (including US territories, such as Puerto Rico, Guam, the Northern Mariana Islands, American Samoa, and etc.), Singapore, the mainland of Hong Kong, Malaysia, Ontario Canada, Crimea and Luhansk/Donetsk regions  (the list of “Restricted Locations” may be updated from time to time at the Platform’s sole and absolute discretion).

&#x20;   xiii.    the User (whether as an individual or legal entity) is not on any sanction lists of competent authority, including but not limited to the sanction lists of Panama, the sanction lists of international laws and conventions to which Panama is a party and other applicable sanction lists.

### **7.     Liability and indemniﬁcation**

7.1.     Unless stated otherwise in this Agreement, Sidus is not bound to give the Client, and does not provide, any warranty, indemnity, or a combination thereof regarding (the functioning of) the Platform, (the use of) Services, (the execution of) this Agreement, and/or any other respect in any form whatsoever.

7.2.     Sidus is not liable and cannot be held liable by the Client for any damage, however named and to the maximum extent, suffered by the Client or third parties as a result of (the execution of) this Agreement and/or (the use of) the Services, except in the case of wilful intent or deliberate recklessness on the part of Sidus. The exclusion of liability under this clause also applies to any auxiliary persons and/or subordinates who are involved by Sidus regarding (the execution of) this Agreement and/or (the use of) the Services.

7.3.     The Client acknowledges and agrees that he/she will indemnify Sidus, its directors, its employees and/or any third party involved with (the creation and/or execution of) this Agreement and/or the Services against (any) third-party claim(s), including but not limited to the claims which arise from the Client entering into this Agreement, using the Services and/or a breach of any or all representations made by the Client as described in article 6 of this Agreement.

### **8.     Intellectual property rights**

8.1.     Without limitation thereto, Sidus’s intellectual property rights are those rights which are registered in its name and also inventions, original works of authorship (copyrighted materials), developments, concepts, know-how, improvements or trade secrets, whether or not patentable or registrable under copyright or similar laws or other intellectual property which relate to (the implementation of) Sidus’s business, this shall more speciﬁcally include, but not be limited thereto, (the exploitation of) the Platform, (the provision and execution of) the Services, (the execution of) this Agreement and all software and technologies related thereto. Additionally (and for the avoidance of doubt), Sidus is the sole owner of all rights of, existing, regarding and arising from (the use of) the Platform and the Services, including copyrights and other intellectual property rights.

8.2.     Unless explicitly agreed upon otherwise in this Agreement, nothing with regard to (the execution of) this Agreement and/or (the provision or use of) the Services may be interpreted or construed as granting the use of and/or transferring any (intellectual) (property) right(s), however named, by Sidus to you.

### **9.     Termination of the Agreement**

9.1.     As soon as the Client’s account on the Website is closed, this Agreement will automatically terminate.

9.2.    Sidus is entitled to terminate this Agreement and, as a result thereof, terminate Client’s access to the Platform and the use of the Services with immediate effect, without any prior warning or due regard of any (termination) notice, if one of the following circumstances or a combination thereof present itself, which is to be determined at the sole discretion of Sidus and/or a third party designated by Sidus:

&#x20;   i.    the Client does not fulﬁll his/her obligations towards Sidus as described in article 2.2 and/or 3.3 of this Agreement;

&#x20;   ii.   the Client materially breaches this Agreement, including but not limited to the Client breaching the representations and/or warranties set out in article 6 of this Agreement;

&#x20;   iii.  the Client is declared bankrupt or ﬁles a petition for bankruptcy against himself/herself;

&#x20;   iv.  the Client is granted (provisional) suspension of payments or applies for a suspension of payments;

&#x20;   v.   the Client dies, and/or;

&#x20;   vi.  the Client consciously brings damage to Sidus, its business, the Platform, the Services, a third party involved in or with a Fundraise, or otherwise in relation to (the execution of) this Agreement.

9.3.    In addition to the foregoing termination grounds, Sidus is entitled to terminate this Agreement and, as a result thereof, terminate Client’s access to the Platform and the use of the Services with immediate effect, without any prior warning or due regard of any (termination) notice, if the Client does not successfully pass the KYC (know your customer) and AML (anti money laundering) checks and procedures applied by Sidus and/or a third party designated thereto by Sidus. This is to be determined at the sole discretion of Sidus and/or a third party designated by Sidus.

9.4.    The obligations set forth in articles 6, 7, 8, 9 and 10 of this Agreement shall survive the termination, annulment and/or dissolvement of this Agreement indeﬁnitely.

### **10.    Final provisions**

10.1.    This Agreement includes all the arrangements between the Parties relating to the Services and replaces all the previously written and oral arrangements made between the Parties. No further (general) terms, conditions and/or statutory regimes are applicable to the legal relationship and/or (other) arrangements made between Parties.

10.2.    By entering into this Agreement, you give Sidus permission in advance for the transfer of its rights and obligations under this Agreement and all related (legal) acts to third parties, either by contract transfer or separately. If Sidus makes such a transfer, it will remain responsible to you for the fulﬁlment of its obligations under this Agreement until Sidus has notiﬁed you of the transfer and the (legal) person to whom Sidus has transferred its obligations under this Agreement.

10.3.    Sidus is legally entitled to amend this Agreement unilaterally.

10.4.    All the communications, notices and announcements under this Agreement must be made in writing.

10.5.    If a provision of this Agreement turns out to be void or non-binding, the Parties continue to be bound to the other provisions of this Agreement.

10.6.    Any claims that may ensue from (the execution of) this Agreement and/or (the use of) the Services cannot be transferred, this with effect under property law.

10.7.    (The execution of) this Agreement, (the provision of) the Services and/or any non-contractual rights and/or obligations arising out of or in connection therewith are solely and exclusively governed by and shall be construed in accordance with the laws of the Netherlands.

10.8.    Any disputes arising out of or in connection with this Agreement and/or the Services, including regarding the existence or validity of this Agreement, and any non-contractual obligations arising out of or in connection with this Agreement and/or the Services, are subject to  arbitration before Center of Arbitration and Conciliation of Panama (CECAP) and in accordance with the Arbitration Rules of the NAI. The place of arbitration shall be Panama city, Panama. The proceedings shall be conducted in English. The (procedural) laws of Panama shall be exclusively applicable and applied in any such arbitration proceeding(s) before the CECAP.

# Token Sale Terms and Condtions

This agreement and the terms and clauses contained therein (hereinafter: the/this “**Terms**”) apply to the purchase, use, receipt, trading and/or any other use (in the widest sense) of the future cryptographic tokens (hereinafter: the “**Token(s)**”) which are to be issued by the issuer thereof as specified on the relevant ‘project page’ on the relevant ‘launchpad’ (hereinafter: the “**Project Page**”) used by \[said issuing party (hereinafter: the “**Issuing Party**”).

Upon acceptance of these Terms by you, either by acknowledgment and/or receipt of the Tokens, a legally binding agreement is formed between you and the Issuing Party, of which agreement these Terms form an integral part.

You (hereinafter: the “**Participant**”) and the Issuing Party are hereinafter jointly referred to as: the “**Parties**”.

## RECITALS:

A.        The Issuing Party exploits a business that is engaged in the development of a blockchain-based project, which is further described on the Project Page as well as in the Issuing Party’s pitch deck, whitepaper, and/or other relevant Project documentation (whichever is applicable, hereinafter: the “**Project Documentation**”).

B.        Under and in connection with the Project, the Tokens are to be issued by the Issuing Party to participants and/or contributors and users of the Project. The Tokens will play a central role under and in connection with the Project and are envisaged to have the (future) functionalities as described on the Project Page as well as in the Project Documentation.

C.        Participant is interested in the Project and therefore wants to participate and obtain, interact with and/or use (in the widest sense) the Tokens, which can only and must at all times be done exclusively in accordance with the terms and conditions set forth in these Terms.

D.        Participant realises that the Project is and can be very high-risk, which means that, among other things but not limited to that, there is a significant risk for Participant that the Tokens (in the end) will not represent any, or only very limited, actual monetary value, and that, in addition thereto, Participant specifically, but not limited to that:

&#x20;   i.      does not have any opportunity to acquire shares or similar (property and/or equity) rights in the Issuing Party’s capital;

&#x20;   ii.     will not receive any dividend in any form whatsoever;

&#x20;   iii.    will not obtain any control over or in the Issuing Party, or any other legal entity, in any form whatsoever;

&#x20;   iv.     is not entitled to any repayment with regard to the Tokens in any form whatsoever, unless stated otherwise in these Terms;

&#x20;   v.      is not entitled to any interest compensation in any form whatsoever;

&#x20;   vi.     is not entitled to any (property) right regarding the (intellectual property rights with regard to the) Project in any form whatsoever, while the Issuing Party will not provide the Project’s source code to Participant, in any form whatsoever;

&#x20;   vii.    realises that the Tokens may lose their value in part or in full;

&#x20;   viii.   realises that the Tokens may not always be transferable and/or exchangeable (e.g. to the extent that there is no buyer at hand);

&#x20;   ix.     realises that the Tokens may not be liquid;

&#x20;   x.      realises that these Terms do not constitute an offer or solicitation to sell financial instruments, whereas any such offer or solicitation to sell financial instruments can be made only by means of a prospectus or other offering documents pursuant to applicable law;

&#x20;   xi.     realises that multiple other parties will also obtain Tokens, which means that there is no exclusivity for Participant in any form whatsoever;

&#x20;   xii.    realises that the Project’s development is not yet finalised which means that the Project may be changed (for example the blockchain network on which it is based) and/or not be feasible for technical, economic, commercial or other reasons, in which case Participant does not have any right to compel the Issuing Party to continue developing the Project, and/or to compel the Issuing Party to carry out and/or to cause others to carry out any other action(s);

&#x20;   xiii.   realises that the Tokens have not been created and issued yet, which means it may be possible that the Tokens cannot (in practice) be issued and/or exchanged as a result of (changed) market conditions, (amended) legislation, (changed) points of view on the part of the regulators and/or for other reasons, so that it is not certain that Participant will actually obtain the Tokens. However, as stated in Article 4.1, the Issuing Party will use its best commercial efforts to provide, or cause to provide, that the Tokens will be created and be issued to Participant and other parties like Participant; and

&#x20;   xiv.   Participant is not entitled to personally or via (a) class action(s) hold the Issuing Party, its advisors, shareholders and/or its directors, liable for any damages arising out of any of these or the foregoing recitals, nor for any damages arising out of or in connection with (the execution of) these Terms as a whole and/or the Project.

E.        In order to illustrate the (technical) knowledge of Participant of the status and functioning of blockchain technology and the application thereof, Participant hereby acknowledges (that Participant realises and understands), amongst other things but not limited to, that:

&#x20;   i.      blockchain is a new and largely unregulated form of interaction and doing business. Many jurisdictions have not yet adopted their legal systems to this up and coming application of technology. As a result of this, upcoming changes in legal systems and/or other circumstances may result in substantial changes in the blockchain application and/or the (execution of the) Project, which in turn may lead to (the complete) loss of (the value of) the Tokens;

&#x20;   ii.     once the Tokens have been transferred by the Issuing Party, they are only accessible via a digital wallet. The wallet requires the means to store and access the private key. If either the private key or wallet is compromised this can result in the unrecoverable and permanent loss of the Tokens which are held in that wallet; and

&#x20;   iii.    blockchain and the (underlying) software(products) are currently in an early development-stage and have not been proven to be without error. Therefore, the Issuing Party cannot give Participant and other parties like Participant any warranties regarding the errorless and hack-free functioning and performance of the Issuing Party’s network, the Project and/or the blockchain(s) on which they are based.

F.        Participant realises and acknowledges that the Project is still in the process of development and this development has no fixed timeline or deadline. The Issuing Party is the sole representative of the Project. The issuing and distribution of the Tokens is planned on a best effort basis. Participant realises and acknowledges that digital tokens and other blockchain-related technologies are new and untested, and are thus inherently risky. The Issuing Party is not responsible for any non-performance resulting from adverse changes in market forces or the technology. In addition, Participant has been warned and understands amongst others, but not limited thereto, the following risks:

&#x20;   i.      legal risks regarding securities regulations;

&#x20;   ii.     risks associated with blockchain-related technologies;

&#x20;   iii.    risks of unfavourable regulatory actions;

&#x20;   iv.    risks of cyber theft and hacking;

&#x20;   v.     risks of security weakness of codes & software;

&#x20;   vi.    weaknesses of cryptography & mining attacks;

&#x20;   vii.   risk of loss of value of the Tokens;

&#x20;   viii.  the Issuing Party may not meet Participant’s expectations;

&#x20;   ix.    the Project may never be completed;

&#x20;   x.     regulatory risks associated with the Tokens and/or the Project; and/or

&#x20;   xi.    risks of losing any amounts invested in the Tokens.

G.        Participant realises and acknowledges that these Terms does not constitute an offer or invitation to subscribe for or to purchase any securities nor solicit any investment in any jurisdiction. Participant agrees to seek professional advice if he or she is in any doubt as to any aspect of these Terms.

## HAVE AGREED AS FOLLOWS:

### **1.**     Interpretation

1.1.    In these Terms, the capitalised words have the following meaning:

1.2.    These definitions apply in the singular form as well as in the plural form of these definitions.

1.3.    The contents of the recitals in these Terms form an integral part of what the Parties have agreed upon.

### **2.**     Acquisition of Tokens

2.1.    Participant may obtain Tokens from the Issuing Party by participating in an acquisition and/or launch event as indicated on the Project Page. The Allocated Tokens that Participant may obtain from the Issuing Party is dependent on the purchase price per Token as well as the amount in cryptocurrency that Participant transfers to the Issuing Party. The modalities and specifics of which are to be indicated on the Project Page.

2.2.   The distribution of the Allocated Tokens by the Issuing Party to Participant is subjected to the following cumulative conditions precedent, the fulfilment of which is to be determined at the sole discretion of the Issuing Party and/or a third party designated by the Issuing Party:

&#x20;   i.    the Issuing Party has unconditionally received the purchase price for the Allocated Tokens from Participant;

&#x20;   ii.   the Issuing Party has received the proof of payment as described in sub i. above;

&#x20;   iii.  Participant successfully passes and is in continuous compliance with the KYC and AML checks and procedures applied by the Issuing Party and/or a third party designated thereto by the Issuing Party (as stated in Article 3.1);

&#x20;   iv.  the creation of the Tokens takes place; and

&#x20;   v.   the TGE takes place.

2.3.   Any transaction fees however named are for the account of Participant and the exchange rate(s) with regard to and/or in relation to the Tokens and/or the purchase price (if applicable) is exclusively determined by the Issuing Party and/or a third party designated by the Issuing Party.

### **3.**     Obligations of Participant

3.1.     Participant shall provide any and all information required by the Issuing Party and/or a third party designated by the Issuing Party, amongst other things (but not limited thereto) to perform the KYC (know your customer) and AML (anti money laundering) checks and procedures applied by the Issuing Party and/or a third party designated thereto by the Issuing Party. Participant is obligated to update any and all information provided to the extent such information is no longer accurate and correct. This shall be the sole responsibility of Participant himself/herself. Participant remains obliged towards the Issuing Party, to provide any information and/or produce any document to enable the Issuing Party to comply with any contractual, factual and/or statutory obligations of itself towards authorities and/or (financial) service providers, such as (but not limited thereto) banks, payment service providers and exchanges.

3.2.     Participant is solely responsible for determining what, if any, taxes apply in the jurisdiction of Participant regarding entering into these Terms, including, for example, sales, use, value added, and similar taxes. It is also the sole responsibility of Participant to withhold, collect, report and remit the correct taxes to the appropriate tax authorities. The Issuing Party is not responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from Participant entering into these Terms, in any form whatsoever.

### **4.**     The Project and Tokens

4.1.     The Issuing Party shall use its commercial best efforts to provide, or cause to provide, (i) the (finalisation of the) development of the Project, (ii) that the creation of the Tokens takes place, (iii) that the TGE takes place and (iv) to ensure that Participant will obtain the Allocated Tokens.

4.2.    The Tokens are envisaged to be distributed by the Issuing Party as soon as reasonably and commercially possible after (the completion of) the TGE. The vesting schedule, lock-up period and/or any other (technical) specification of (the delivery) of the Tokens will be indicated on the Project Page. The Issuing Party has the right (but not the obligation) to change the vesting schedule unilaterally, whereby any such change(s) will at all times be communicated to Participant.

### **5.**     Representations and warranties from Participant to the Issuing Party

5.1.     By entering into these Terms, Participant represents and warrants to the Issuing Party that:

&#x20;   i.      Participant is over 18 (eighteen) years old and has experience in interacting and dealing with cryptographic tokens such as the Token and understands the risks involved therewith, as indicated in these Terms;

&#x20;   ii.     Participant is legally permitted under the laws applicable to him/her to enter into these Terms and is allowed and capable to acquire, receive, use, hold and/or interact with (in the widest sense) the Tokens;

&#x20;   iii.    the initiative to enter into these Terms lies solely with Participant, whereas the Issuing Party did not offer or solicit the Tokens to Participant;

&#x20;   iv.    Participant is not involved in any proceedings or disputes related to these Terms, the Tokens and/or the Project;

&#x20;   v.     entering into these Terms does not constitute an attributable breach on the part of Participant with respect to one or more third parties;

&#x20;   vi.    the (content(s) of the) information and documents that Participant has provided and/or will provide during the execution of these Terms to the Issuing Party in relation to (the execution of) these Terms, including but not limited to the information and documents with regard to the KYC and AML procedures, are correct, accurate, true and not in any way misleading or fabricated;

&#x20;   vii.   the wallet (address) in or via which the Participant holds the Tokens is a wallet (address) that is exclusively controlled and used by Participant, whereas (for avoidance of doubt) said wallet (address) is not a wallet held with an exchange, nor a wallet (address) that is (also) used by anybody else;

&#x20;   viii.  what has been included in the recitals of these Terms is correct, while Participant is aware of, and warrants that he/she is aware of, and understands the risks as described in the recitals of these Terms;

&#x20;   ix.    Participant confirms that he/she fully understands the nature of these Terms and that more information as to the Tokens and/or the Project may become available towards potential participants of the Project - and Participant as well - at a later stage. However, Participant accepts the risks involved with entering into these Terms without having received such further information prior to his entering into these Terms;

&#x20;   x.     Participant is entering into these Terms to provide or receive (future) services with respect to the Project and to support the development, testing, deployment and operation of the Project;&#x20;

&#x20;   xi.    Participant will comply with any applicable legal and tax obligations in the jurisdiction of Participant arising from Participant entering into these Terms;&#x20;

&#x20;   xii.   Participant intends to obtain the Tokens and enters into these Terms exclusively for himself/herself and not (also) for and/or on behalf of anybody else; and

&#x20;   xiii.  Participant (whether as an individual or legal entity) is not a resident of or registered in, any of the Restricted Locations. For the purpose of this Agreement, “Restricted Locations” shall include the United States (including US territories, such as Puerto Rico, Guam, the Northern Mariana Islands, American Samoa, and etc.), Singapore, the mainland of Hong Kong, Malaysia, Ontario Canada, Crimea and Luhansk/Donetsk regions (the list of “Restricted Locations” may be updated from time to time at the Platform’s sole and absolute discretion).

&#x20;   xiv.  Participant (whether as an individual or legal entity) is not on any sanction lists of competent authority, including but not limited to the sanction lists of Panama, the sanction lists of international laws and conventions to which Panama is a party and other applicable sanction lists.

### **6.**     Warranties and liability

6.1.     Unless stated otherwise in these Terms, the Issuing Party is not bound to give Participant any warranty, indemnity or a combination thereof regarding the Tokens, the Project, these Terms and/or any other respect in any form whatsoever.

6.2.    By entering into these Terms, Participant acknowledges and agrees that Participant will not hold the Issuing Party, its directors, its employees and/or any third party involved with (the creation and/or execution of) these Terms, the Tokens and/or the Project liable for any and all damages caused by and/or related to these Terms, the Tokens and/or to the Project. Participant is not entitled to personally or via a class action hold the Issuing Party, its directors, its employees and/or any third party involved with (the creation of these Terms, the Tokens and/or the Project liable or file for claims for any damages arising out of or in connection with these Terms, the Tokens and/or the Project.

6.3.    By entering into these Terms Participant acknowledges and agrees that Participant will indemnify the Issuing Party, its directors, its employees and/or any third party involved with (the creation and/or execution of) these Terms, the Tokens and/or the Project against (any) third-party claim(s), including, but not limited to, the claims which arise from Participant entering into these Terms and/or a breach of any or all representations as described in Article 5.

6.4.    Involved third parties as included in Articles 6.2 and 6.3 explicitly include, but shall not be limited to, launchpad (service) providers and/or any (other) third party involved with the promotion and distribution of the Project and/or the Tokens.

### **7.**      Confidentiality

7.1.      Parties hereby agree to maintain strict confidentiality with regard to these Terms, the information and data related to these Terms and the Project.

7.2.     Parties agree to use the information and data as described in these Terms, as well as any information and/or documents in relation to these Terms, the Tokens and/or the Project, including (any) other information and data that Parties should reasonably consider to be confidential, with strict confidentiality and exclusively for the performance and execution of these Terms and to refrain from using that information and data for commercial or other use.

### **8.**      Term and survival

8.1.      The duration the applicability of these Terms has no ending or fixed date and remains into force for an indefinite period of time.

8.2.     Any and all obligations set forth in Articles 2, 3, 5, 6, 7 and 9 shall survive the termination, annulment and/or dissolvement of these Terms indefinitely.

### **9.**      Other provisions

9.1.      These Terms may be amended or supplemented unilaterally by the Issuing Party.

9.2.     These Terms include all the arrangements between the Parties relating to the content of these Terms, including but not limited thereto the Tokens and the Project, and replaces all the previously written and oral arrangements made between the Parties relating thereto. No other agreement(s) or general terms and conditions other than these Terms are applicable to the legal relationship that exists between the Parties and that is governed by these Terms. The applicability of any such other agreement(s) or general terms and conditions is hereby explicitly excluded and waived.

9.3.     If a provision of these Terms turns out to be void or non-binding, Parties continue to be bound to the other provisions of these Terms.

9.4.     Participant hereby waives his/her rights to terminate, annul and/or dissolve these Terms, or cause it to be terminated, annulled or dissolved, on any grounds whatsoever. Furthermore, Participant waives his/her right to demand these Terms to be amended on any grounds whatsoever.

9.5.     The rights and powers vested in Participant to rely on a settlement, setoff and/or suspension are excluded with the exception of the provisions in these Terms in this regard.

9.6.     Claims and/or rights that may ensue from (the execution of) these Terms cannot be transferred without the prior written consent of the Issuing Party.

9.7.      These Terms and any non-contractual obligations arising out of or in connection with these Terms, the Tokens and/or the Project are solely and exclusively governed by and shall be construed in accordance with the laws of Panama.

9.8.     Any disputes arising out of or in connection with the Tokens, these Terms, the execution thereof and/or the Project, including regarding the existence or validity of these Terms, and any rights and/or non-contractual obligations arising out of or in connection with these Terms, the Tokens and/or the Project, are subject to  arbitration before Center of Arbitration and Conciliation of Panama (CECAP) and in accordance with the Arbitration Rules of the NAI. The place of arbitration shall be Panama city, Panama. The proceedings shall be conducted in English. The (procedural) laws of PAnamas shall be exclusively applicable and applied in any such arbitration proceeding(s) before the CECAP.

# Law Enforcement Request Guidelines

### **1.**     INTRODUCTION

Sidus  will respond to all law enforcement requests from authorized law enforcement officials with proof of authority. These Law Enforcement Request Guidelines outline how authorized law enforcement officials can engage and contact us to request customer information.

To facilitate processing, we require the requests be addressed to Sidus. In the event that law enforcement is not sure which entity the request needs to be addressed to, please outline all the legal entities identified, along with the proper Mutual Legal Assistance Treaty documents if cross-border law enforcement is involved.

### **2.**     LAW ENFORCEMENT

Sidus  is pleased to voluntarily cooperate with law enforcement requests from all jurisdictions in accordance with our terms of use, our privacy policy, and applicable law.

Please submit all law enforcement requests via <contact@siduspad.io>. Kindly ensure that all the information requests comply with our requirements below.

### **3.**     REQUIRED INFORMATION

To aid the expedient review of information requests, international law enforcement officers are advised to provide the following in the request documents:

1\. The name of the law enforcement authority, with the name of the country or administration.

2\. Proof of authority:

&#x20;   a. Photo evidence of your authority as a representative of your law enforcement agency to administer such request (e.g. photo of your police badge or any similar identification);

&#x20;   b. Documentary evidence that you are authorized to request the information and your current position within the law enforcement organization.

3\. An email address with a government domain.

4\. An official request from the law enforcement authority in English language, such as a subpoena, court order, warrant or equivalent. Kindly note that the request must be duly signed or sealed (digital signature/seal is not accepted).

5\. The identifier of the KuCoin user from which you require information. The identifier includes the name, email address, phone number (with country code), User ID, transaction hashes or address, or other information which may help us to locate the specific user.

6\. All identifiers shall be provided in copiable text format such as copiable PDF, Word document, Excel file or within the content of the email.

7\. Flow of funds.

8\. Indication whether such request shall be disclosed to the relevant user.

9\. For Freezing Requests:

&#x20;   a. Duration of freeze: Please specify the duration to freeze the relevant account, otherwise we will unfreeze the account within 30 days from the date of the freeze;

&#x20;   b. Notification to user: Please specify if the freezing request can be disclosed to the user, otherwise we will disclose the reason for such freeze to the user.

For avoidance of doubt, above documents and communication emails should be in English.

### **4.**     EMERGENCY LAW ENFORCEMENT REQUESTS

For urgent requests, please include URGENT REQUEST in the Subject Line during submission.
